Terms of Service

The terms and conditions governing your use of PlanPal.

1. Acceptance of Terms

By accessing or using the PlanPal platform, website, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (whether individually or on behalf of the entity you represent) and PlanPal. By creating an account, clicking "I agree," or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization.

2. Description of Service

PlanPal is a cloud-based equity compensation compliance platform designed to help companies navigate global regulatory and tax requirements related to equity compensation plans. The Service provides the following features and tools:

  • Regulatory Information Summaries: Country-specific overviews of regulations relevant to equity compensation plans, presented in a structured and accessible format.
  • Tax Information Summaries: Summaries of tax obligations, withholding requirements, and reporting considerations associated with equity compensation across different jurisdictions.
  • Filing Wizard: Guided workflows to help users prepare and organize information for regulatory filings and submissions.
  • Compliance Calendar: Automated tracking of key compliance deadlines, filing dates, and regulatory milestones across multiple jurisdictions.
  • Reporting: Tools for generating compliance-related reports, audit trails, and documentation for internal and external stakeholders.

PlanPal may update, modify, or discontinue features of the Service at any time. We will make reasonable efforts to notify users of material changes.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your information as necessary to keep it accurate and complete.

3.2 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify PlanPal immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Responsibility

You are fully responsible for all activities that occur under your account, whether or not authorized by you. PlanPal is not liable for any loss or damage arising from your failure to safeguard your account credentials.

3.4 Account Access

PlanPal reserves the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, misleading, or incomplete, or if your use of the Service violates these Terms.

4. Subscription and Payment Terms

4.1 Subscription Plans

Access to the Service is provided on a subscription basis. Details of available plans, features, and pricing are described on our Pricing page and may be updated from time to time.

4.2 Billing and Payment

By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). All payments are non-refundable except as expressly set forth in these Terms or as required by applicable law.

4.3 Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for paying any applicable taxes associated with your subscription, excluding taxes based on PlanPal's net income.

4.4 Price Changes

PlanPal reserves the right to modify subscription pricing. We will provide at least 30 days' written notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.5 Free Trials

PlanPal may offer free trials at its discretion. At the end of a trial period, your account will be converted to a paid subscription unless you cancel before the trial expires. We will notify you before any charges are applied.

5. Permitted Use and Acceptable Use

5.1 Permitted Use

You may use the Service solely for your internal business purposes in accordance with these Terms and all applicable laws and regulations. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service during your subscription term.

5.2 Acceptable Use Restrictions

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service or any part thereof.
  • Use the Service to transmit any viruses, malware, or other harmful code.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
  • Use automated means (including bots, scrapers, or crawlers) to access or interact with the Service without prior written consent from PlanPal.
  • Interfere with or disrupt the integrity, performance, or availability of the Service.
  • Resell, redistribute, or make the Service available to any third party without PlanPal's prior written consent.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service.

6. Intellectual Property

6.1 PlanPal's Intellectual Property

The Service, including all software, content, designs, text, graphics, interfaces, and the selection and arrangement thereof, is owned by PlanPal or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited license expressly set forth herein.

6.2 Your Data

You retain all rights to the data you submit, upload, or otherwise provide through the Service ("Your Data"). By using the Service, you grant PlanPal a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving the Service. PlanPal will handle Your Data in accordance with our Privacy Policy.

6.3 Feedback

If you provide suggestions, ideas, or other feedback about the Service ("Feedback"), you grant PlanPal a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

All regulatory and tax information provided through the Service is generic in nature and intended for general informational purposes only. It is not tailored to your specific company, jurisdiction, equity plan structure, or individual circumstances. The information summaries, filing workflows, compliance calendars, and reports provided through the Service are not a substitute for professional judgment or the advice of qualified legal, tax, or financial advisors.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLANPAL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INFORMATION, OR RESULTS OBTAINED THROUGH THE SERVICE.

You acknowledge that laws, regulations, and tax rules change frequently and vary by jurisdiction. PlanPal does not guarantee that the information provided through the Service reflects the most current legal or regulatory developments. You use the Service and rely on any information provided therein at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PLANPAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
  • ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS.
  • ANY DAMAGES ARISING FROM RELIANCE ON INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING REGULATORY SUMMARIES, TAX INFORMATION, OR COMPLIANCE GUIDANCE.
  • ANY DAMAGES ARISING FROM MISSED FILINGS, DEADLINES, OR REGULATORY OBLIGATIONS, WHETHER OR NOT TRACKED BY THE SERVICE.

IN NO EVENT SHALL PLANPAL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO PLANPAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS AND EXCLUSIONS SET FORTH ABOVE SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless PlanPal, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any data or content you submit, upload, or transmit through the Service.
  • Any decisions made or actions taken based on information obtained through the Service.

PlanPal reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with PlanPal's defense of such claim.

10. Termination

10.1 Termination by You

You may terminate your account and stop using the Service at any time by contacting us at hello@planpal.io or through your account settings. Termination does not entitle you to a refund of any prepaid fees, unless otherwise required by applicable law.

10.2 Termination by PlanPal

PlanPal may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to:

  • Violation of these Terms or any applicable law.
  • Conduct that PlanPal reasonably believes is harmful to other users, third parties, or the business interests of PlanPal.
  • Non-payment of fees.
  • Extended periods of inactivity.

PlanPal will make reasonable efforts to provide notice before termination, except where immediate termination is necessary to protect the Service or other users.

10.3 Effect of Termination

Upon termination, your right to access and use the Service will cease immediately. PlanPal may delete your account data after a reasonable retention period following termination, in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Sections 6, 7, 8, 9, 11, and 12) will survive.

11. Governing Law

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact PlanPal at hello@planpal.io and attempt to resolve the dispute informally. The parties shall use good faith efforts to resolve the dispute within thirty (30) days of the initial notice.

12.2 Binding Arbitration

If the dispute cannot be resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

12.3 Class Action Waiver

YOU AND PLANPAL AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

13. Changes to Terms

PlanPal reserves the right to modify or update these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page.
  • Notify you via email or through a prominent notice within the Service at least thirty (30) days before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.
